Description
Primary responsibilities include drafting and negotiating contracts for the company’s national account business, handling all commercial real estate matters for owned and leased properties, responding to questions regarding customer bankruptcy filings, record retention, customer litigation matters, and general contract interpretation and path forward advice.

Essential Job Functions
80%- National Accounts/Key Accounts/Special Accounts
• Agreements, G&K and customer forms – drafting and negotiating
• RFPs and RFIs – review for exceptions, revisions, and assist in responses in keeping company policies
• Addendums, revisions, and renewals – drafting and negotiating
• Non-disclosure agreements – drafting and reviewing
• Subcontract agreements – preparing and revising for national account customers and dealing with local subcontract agreements that may impact business or require input or negotiation for consistency with national account customers
• Quits, audits, pricing, vendor forms, safety, insurance, and issues regarding interpretation of responsibilities – review agreements and advise
• Update forms for optimal usage, including direct purchase
10% – Real Estate
• Leases – review, negotiate, draft/ revise, draft addendums
• Review and edit listing agreements for sales, purchase agreements, review title work, and draft closing documents for owned properties for sale
• Review, edit, negotiate, and advise regarding all leased and owned properties regarding construction, tenant improvements, payment responsibilities, closeout/move out requirements, and purchases/exchanges
• Draft, review, edit subleases and listing agreements for subleases, parking agreements, month-to-month agreements, etc.
5% – Customer Quits
• Support paralegals and junior department counsel with questions regarding enforceability of contracts, position on pursuit or non-pursuit of breach of contract scenarios, as backup/assistance to junior department counsel
• Negotiate settlement on larger quit cases or where prior involvement, attend mediation/negotiation sessions, customer meetings
• Respond to questions regarding ability to collect, positions to take with customers, likelihood of success and timing from the field via telephone
• Assist in outside counsel responses for litigation, discovery responses, and transition of outside counsel firm and process
• Negotiating and making revisions to subcontracts, agreements of rights and responsibilities, letters of intent, and non-disclosure/confidentiality agreements
3% – Bankruptcy
• Responsibility for Financial Policy and Procedures on customer bankruptcies, and assisting Treasury in updating the bankruptcy tracking spreadsheet for customers to show claims filed, important dates, and deadlines for preference claim liabilities (for turnover to Treasury to maintain)
• Answer field questions regarding situation for continuance of service, discontinuance, pickup, filings and dates required, and enforceability of agreements
• Negotiate contract rejection or cure and acceptance with customers, gather information, file claims for large customer accounts, and respond to preference lawsuits and receivership demands
2% – Record Retention
• Maintain schedule for retention period in accordance with applicable laws
• Coordinate annual activities at corporate
• Roll-out annual destruction process and deadlines to corporate and to the field annually in the spring, prior to fiscal year-end

Qualifications
Minimum Qualifications:
J.D. from an accredited law school; be licensed to practice law in Minnesota and be in good standing
Minimum five years in practice, including solid performance in general corporate, commercial and contract law, with significant experience in negotiation, drafting, and litigation management. Prior law firm experience will be strongly considered.

• Maintain in-depth knowledge of both the corporate and field operations and personnel of the company.
• Develop effective working relationships with legal colleagues, internal clients, and employees of all levels.
