Key Responsibilities

• Advise in many areas of corporate legal matters, including mergers and acquisitions, real estate transactions (including sale/leaseback transactions), equity and debt investments, financings (including commercial paper programs and credit facilities) and general corporate counseling.
• Oversee and coordinate legal due diligence for mergers and acquisitions, investments, financings and other related activities.
• Assist the company and its subsidiaries in its general corporate affairs and risk management.
• Collaborate with colleagues across the UnitedHealth Group legal department and business departments, including Corporate Development, Corporate Finance, Real Estate and Treasury.
• Interact and coordinate with external counsel.

Qualifications

• Juris Doctorate Degree.
• 7+ years legal experience with mid to large size corporation or law firm.
• Health care experience a plus.
• Significant experience in mergers and acquisitions, investments, financings and other transaction related matters.
• Experience in securities law compliance requirements related to mergers and acquisitions, investments and financing activities.
• Strong work ethic.
• Flexible, with a demonstrated ability to multi-task.
• Ability to work independently.
• Strong business acumen and decision making skills.
• Experience in handling a variety of complex legal matters or projects.
• Excellent written and verbal communication skills and legal research skills.
• Adept at working in a fast-paced, performance-driven culture.
• Ability to build and maintain rapport with all levels of the company and external company contacts.

Qualifications
Minimum Qualifications:
J.D. from an accredited law school; be licensed to practice law in Minnesota and be in good standing
Minimum five years in practice, including solid performance in general corporate, commercial and contract law, with significant experience in negotiation, drafting, and litigation management. Prior law firm experience will be strongly considered.

MAIN RESPONSIBILITIES

In this role you will:

• Provide administrative and secretarial support to several lawyers and paralegals
• Maintain litigation database and files
• Work with department budget and process invoices
• Manage tight/demanding schedules pertaining to calendaring and travel arrangements
• Work with highly confidential material requiring excellent judgment
• Become a resource on basic issues and processes with clients
• Assist in discovery, including electronic discovery
• Other duties include maintaining filing systems and records, expense reporting, data input, travel and meeting arrangements plus special projects on an ongoing basis

MINIMUM QUALIFICATIONS

• A.B. or Legal Secretarial degree or certificate from an accredited legal secretarial program required, 4-year degree preferred
• Three or more years of Legal Secretarial experience supporting a litigation practice; an extra 2 years of legal experience may be substituted for the educational requirement
• High degree of computer proficiency (MS Word, Excel, PowerPoint, Outlook, Access, and social networking sites, including creating queries/reports)
• Previous experience or strong aptitude to learn budgeting and billing processes

PREFERRED QUALIFICATIONS

• Experience supporting attorneys working on complex litigation matters, including class actions
• Experience working on electronic discovery
