			<content:encoded><![CDATA[<p>This position will provide legal counsel and expertise to UnitedHealth Group and its affiliated business segments principally in the areas of mergers and acquisitions, real estate transactions, investments, financings and general corporate matters. This individual will regularly interact with company leaders and outside counsel on issues having impact across UnitedHealth Group.</p>
<p><strong>Key Responsibilities</strong></p>
<ul>
<li>Advise in many areas of corporate legal matters, including mergers and acquisitions, real estate transactions (including sale/leaseback transactions), equity and debt investments, financings (including commercial paper programs and credit facilities) and general corporate counseling.</li>
<li>Oversee and coordinate legal due diligence for mergers and acquisitions, investments, financings and other related activities.</li>
<li>Assist the company and its subsidiaries in its general corporate affairs and risk management.</li>
<li>Collaborate with colleagues across the UnitedHealth Group legal department and business departments, including Corporate Development, Corporate Finance, Real Estate and Treasury.</li>
<li>Interact and coordinate with external counsel.</li>
</ul>
<p><strong>Qualifications</strong></p>
<ul>
<li>Juris Doctorate Degree.</li>
<li>7+ years legal experience with mid to large size corporation or law firm.</li>
<li>Health care experience a plus.</li>
<li>Significant experience in mergers and acquisitions, investments, financings and other transaction related matters.</li>
<li>Experience in securities law compliance requirements related to mergers and acquisitions, investments and financing activities.</li>
<li>Strong work ethic.</li>
<li>Flexible, with a demonstrated ability to multi-task.</li>
<li>Ability to work independently.</li>
<li>Strong business acumen and decision making skills.</li>
<li>Experience in handling a variety of complex legal matters or projects.</li>

Primary responsibilities include drafting and negotiating contracts for the company’s national account business, handling all commercial real estate matters for owned and leased properties, responding to questions regarding customer bankruptcy filings, record retention, customer litigation matters, and general contract interpretation and path forward advice.<br />

<strong>Essential Job Functions</strong><br />
80%- National Accounts/Key Accounts/Special Accounts<br />
• Agreements, G&amp;K and customer forms – drafting and negotiating<br />
• RFPs and RFIs – review for exceptions, revisions, and assist in responses in keeping company policies<br />
• Addendums, revisions, and renewals – drafting and negotiating<br />
• Non-disclosure agreements – drafting and reviewing<br />
• Subcontract agreements – preparing and revising for national account customers and dealing with local subcontract agreements that may impact business or require input or negotiation for consistency with national account customers<br />
• Quits, audits, pricing, vendor forms, safety, insurance, and issues regarding interpretation of responsibilities – review agreements and advise<br />
• Update forms for optimal usage, including direct purchase<br />
10% &#8211; Real Estate<br />
• Leases – review, negotiate, draft/ revise, draft addendums<br />
• Review and edit listing agreements for sales, purchase agreements, review title work, and draft closing documents for owned properties for sale<br />
• Review, edit, negotiate, and advise regarding all leased and owned properties regarding construction, tenant improvements, payment responsibilities, closeout/move out requirements, and purchases/exchanges<br />
• Draft, review, edit subleases and listing agreements for subleases, parking agreements, month-to-month agreements, etc.<br />
5% &#8211; Customer Quits<br />
• Support paralegals and junior department counsel with questions regarding enforceability of contracts, position on pursuit or non-pursuit of breach of contract scenarios, as backup/assistance to junior department counsel<br />
• Negotiate settlement on larger quit cases or where prior involvement, attend mediation/negotiation sessions, customer meetings<br />
• Respond to questions regarding ability to collect, positions to take with customers, likelihood of success and timing from the field via telephone<br />
• Assist in outside counsel responses for litigation, discovery responses, and transition of outside counsel firm and process<br />
• Negotiating and making revisions to subcontracts, agreements of rights and responsibilities, letters of intent, and non-disclosure/confidentiality agreements<br />
3% &#8211; Bankruptcy<br />
• Responsibility for Financial Policy and Procedures on customer bankruptcies, and assisting Treasury in updating the bankruptcy tracking spreadsheet for customers to show claims filed, important dates, and deadlines for preference claim liabilities (for turnover to Treasury to maintain)<br />
• Answer field questions regarding situation for continuance of service, discontinuance, pickup, filings and dates required, and enforceability of agreements<br />
• Negotiate contract rejection or cure and acceptance with customers, gather information, file claims for large customer accounts, and respond to preference lawsuits and receivership demands<br />
2% &#8211; Record Retention<br />
• Maintain schedule for retention period in accordance with applicable laws<br />
• Coordinate annual activities at corporate<br />
• Roll-out annual destruction process and deadlines to corporate and to the field annually in the spring, prior to fiscal year-end</p>
<p><strong>Qualifications</strong><br />
Minimum Qualifications:<br />
J.D. from an accredited law school; be licensed to practice law in Minnesota and be in good standing<br />
Minimum five years in practice, including solid performance in general corporate, commercial and contract law, with significant experience in negotiation, drafting, and litigation management. Prior law firm experience will be strongly considered.<br />

			<content:encoded><![CDATA[<p>Join a dynamic team in the Law Division responsible for managing all litigation at General Mills.</p>
<p><strong>MAIN RESPONSIBILITIES</strong></p>
<p>In this role you will:</p>
<ul>
<li>Provide administrative and secretarial support to several lawyers and paralegals</li>
<li>Maintain litigation database and files</li>
<li>Work with department budget and process invoices</li>
<li>Manage tight/demanding schedules pertaining to calendaring and travel arrangements</li>
<li>Work with highly confidential material requiring excellent judgment</li>
<li>Become a resource on basic issues and processes with clients</li>
<li>Assist in discovery, including electronic discovery</li>
<li>Other duties include maintaining filing systems and records, expense reporting, data input, travel and meeting arrangements plus special projects on an ongoing basis</li>
</ul>
<p><strong>MINIMUM QUALIFICATIONS</strong></p>
<ul>
<li>A.B. or Legal Secretarial degree or certificate from an accredited legal secretarial program required, 4-year degree preferred</li>
<li>Three or more years of Legal Secretarial experience supporting a litigation practice; an extra 2 years of legal experience may be substituted for the educational requirement</li>
<li>High degree of computer proficiency (MS Word, Excel, PowerPoint, Outlook, Access, and social networking sites, including creating queries/reports)</li>
<li>Previous experience or strong aptitude to learn budgeting and billing processes</li>
</ul>
<p><strong>PREFERRED QUALIFICATIONS</strong></p>
<ul>
<li>Experience supporting attorneys working on complex litigation matters, including class actions</li>
<li>Experience working on electronic discovery</li>
</ul>
<p><strong>REQUIRED JOB COMPETENCIES</strong></p>
<ul>
<li>Capability to use sound judgment in dealing with internal and external contacts relative to a wide range of sensitive issues, extending to high levels of confidentiality</li>
<li>Excellent organizational skills and high-level of confidence</li>
<li>Multi-level contacts require highly developed interpersonal skills, along with exceptional verbal, written, and problem solving skills</li>
<li>Strong communication skills, including with international clients and employees</li>
<li>Consistently strong initiative and performs with minimal supervision</li>
<li>Flexible and willing to adapt to changing environment and priorities</li>
<li>Adept at managing numerous projects simultaneously and meeting tight deadlines</li>
<li>Able to prioritize requests with minimal direction</li>
